Rubric IQ – Terms of Service

Welcome to Rubric IQ, an AI-powered marking and feedback application operated by Cypher IQ Pty Ltd (“we”, “us”, or “our”). These Terms of Service (“Terms”) set out the rules for using our website and application located at rubriciq.app (“Platform”).
By creating an account or using Rubric IQ, you agree to these Terms. If you do not agree, please do not use the Platform.
1. About the Service
1.1. Rubric IQ is a software-as-a-service (SaaS) application that uses artificial intelligence to assess written submissions and provide feedback. You may upload or email student work to the Platform for automated marking and feedback generation.
1.2. The service is available to:
- Individual educators, and
- Educational organisations such as schools, training providers, and other approved institutions.
1.3. The Services are intended for organisations and adult professionals. Educators and educational organisations may use Rubric IQ. Users must be at least 18 years old or duly authorised by an organisation.
2. Account Registration
2.1. To access Rubric IQ you must:
- Create an account with accurate and current information;
- Maintain the security of your login credentials; and
- Accept these Terms at sign-up.
2.2. If you are creating an account on behalf of an organisation, you confirm you have authority to do so.
2.3. You are responsible for:
- all activity under your account, including any users you authorise (e.g. teachers or administrators within your organisation) including ensuring all users sign-up/logon and accept these terms and conditions prior to use; and
- ensuring that the rubriciq.app website will be made available and accessible on your network.
3. Subscriptions and Payment
3.1. Rubric IQ operates on a subscription basis.
- Subscription Term: Subscriptions are billed monthly for a 12-month minimum period, unless otherwise agreed in writing.
- Payment: You must provide valid payment details when subscribing. Payments are processed via our approved payment provider.
- Renewal: Unless cancelled by written notice within 30 days before the renewal date, subscriptions automatically renew for another 12-month term.
- Cancellation: You may cancel your subscription at any time; however, no refunds are provided for unused months or early termination.
- Changes to Fees: We may adjust subscription fees at renewal, with reasonable prior notice.
3.2. All prices are listed in Australian dollars (AUD) and include GST unless stated otherwise.
4. Use of the Platform
4.1. You agree to use Rubric IQ only for lawful educational or professional purposes. You must not:
- Upload or transmit unlawful, defamatory, or offensive material;
- Attempt to reverse-engineer, copy, or modify any part of the software;
- Resell, rent, lease, time-share, provide access to unauthorised third parties, or use the Services to provide services to third parties (other than internal use);
- Share your login details or access with unauthorised users; or
- Use the Platform to process content unrelated to legitimate teaching or assessment activities; or
- Access the Services for benchmarking, competitive analysis or to build a competing product; or
- Circumvent security or access controls, introduce malware, or disrupt service operation; or
- Infringe third-party rights (including copyright and privacy), engage in spam, unlawful surveillance, or identity theft.
4.2. We reserve the right to suspend or terminate access for misuse or breach of these Terms.
4.3. Unauthorised access, use of another person’s credentials, network monitoring, denial of service, or harvesting data not intended for the Client is prohibited.
4.4. The Client must implement policies to ensure Users do not upload unlawful content and that marking decisions relying on AI Features are appropriately verified by a human where required.
5. Data Handling and Privacy
5.1. Rubric IQ processes uploaded or emailed assessment files for the sole purpose of generating automated marking and feedback.
- Data Input: Student work is uploaded manually or via a specified email address linked to your account.
- Processing: Files are analysed by AI to produce marking outcomes and feedback.
- Storage: Student work and results are stored securely only for the duration required to provide the service.
- Ownership: The licence holder (school or individual teacher) retains ownership of all submitted student work.
- Confidentiality: We do not sell, share, or make uploaded student work publicly available.
- Deletion: Data may be deleted after the subscription ends, in accordance with our retention policy.
- Privacy Compliance: Each party must comply with applicable privacy laws, including the Privacy Act 1988 (Cth). The Client warrants it has all necessary consents and authority to supply Client Data (including student data) and to enable its processing in accordance with these Terms.
5.2. Our Privacy Policy describes in more detail how we handle personal and student information.
6. Intellectual Property
6.1. All intellectual property in Rubric IQ, including software, AI models, design, and content, belongs to Cypher IQ Pty Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use Rubric IQ during your subscription term.
6.2. You must not reproduce, distribute, or create derivative works based on the Platform without our written consent.
6.3. All feedback or suggestions you provide may be used by us freely to improve the service.
7. Service Availability
7.1. We aim to provide reliable, continuous access but do not guarantee uninterrupted service.
7.2. From time to time, we may perform maintenance or updates. We will use reasonable efforts to provide notice of planned outages.
7.3. We are not responsible for downtime caused by external systems, internet issues, or third-party service providers.
8. AI-Generated Feedback
8.1. Rubric IQ uses artificial intelligence (“AI”) to generate marking and feedback. While we strive for accuracy and consistency, AI-generated results may vary. You acknowledge that:
- Results should be reviewed by educators before final grading;
- Rubric IQ is an assistive tool, not a replacement for professional judgment.
8.2. We are not liable for outcomes or decisions made based solely on AI-generated feedback.
8.3. AI Features generate automated outputs that may be inaccurate or incomplete. They are designed to assist, not replace, professional judgement. The Client remains responsible for reviewing and verifying AI outputs before relying on them for assessment or other decisions.
9. Confidentiality and Security
9.1. We take reasonable technical and organisational measures to protect uploaded data from unauthorised access or disclosure. You are responsible for maintaining secure access to your account and ensuring your users comply with applicable privacy and data protection laws.
10. Termination
10.1. We may suspend or terminate your access immediately if you:
- Breach these Terms;
- Fail to pay subscription fees; or
- Misuse or compromise the security of the Platform.
10.2. On termination:
- Your right to access the Platform ceases;
- We may delete your data after a retention period consistent with our policy; and
- Outstanding fees remain payable.
11. Disclaimers
11.1. Rubric IQ is provided “as is” without warranties of any kind, either express or implied. We do not guarantee that:
- The Platform will meet your exact requirements;
- AI feedback will always be accurate or error-free; or
- The service will be continuously available or free from interruptions.
11.2. To the extent permitted by law, the Licensor is not liable for losses arising from:
- Faults in the Client’s equipment, networks or software;
- Reliance on AI-generated outputs without appropriate human verification;
- Third-party integrations, data sources or outages;
- Merchantability, fitness for purpose, or non-infringement;
- Email filtering or blocking by the Client’s systems; or
- Force majeure events (including outages of upstream providers).
12. Limitation of Liability
12.1. To the extent permitted by Australian law:
- Our total liability for any claim relating to these Terms or the use of Rubric IQ is limited to the amount you have paid in subscription fees in the 12 months prior to the claim.
- We are not liable for indirect, incidental, or consequential losses, including loss of data, income, or reputation.
12.2. Nothing in these Terms excludes liability for death, personal injury, or fraud resulting from our negligence.
12.3. Nothing in these Terms excludes, restricts or modifies any non-excludable rights or remedies under the Australian Consumer Law (ACL), including consumer guarantees.
13. Indemnity
13.1. You agree to indemnify and hold harmless Cypher IQ Pty Ltd, its officers, and employees against any claims, losses, or expenses arising from:
- Your use or misuse of Rubric IQ;
- Violation of these Terms; or
- Uploading or processing third-party or student content without proper authorisation.
14. Changes to These Terms
14.1. We may update these Terms occasionally to reflect changes to our services or legal requirements. Updated versions will be posted on our website, and continued use of the Platform constitutes acceptance of the revised Terms.
15. Dispute Resolution
15.1. Notice of dispute. A party claiming a dispute must give written notice detailing the nature of the dispute, desired outcome and proposed resolution.
15.2. Initial meeting. Senior representatives must meet in good faith within two weeks of the notice (or as soon as practicable) to attempt resolution.
15.3. Mediation. If unresolved two weeks after the initial meeting, either party may refer the dispute to mediation. If the parties cannot agree on a mediator, the Law Society of New South Wales will appoint one. The mediator will determine time and place. Parties must participate in good faith.
15.4. Without prejudice. Negotiations are without prejudice to other rights. Nothing prevents a party seeking urgent interlocutory relief.
16. Governing Law
16.1. These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales.
